For good and valuable consideration, the receipt and sufficiency of which I hereby acknowledge, INTENDING TO BE LEGALLY BOUND, I hereby AGREE as follows:

I hereby grant Producer and its affiliates, along with each of their successors, assignees, designees, representatives, contractors and agents (collectively, 'Producer') the right to record, transcribe, produce, publish, re-publish, distribute, broadcast, transmit, use, re-use, edit, abstract, copy, perform, display, incorporate into other material and otherwise use my name, image, biography/resume, words, recorded actions, outtakes, voice/sound print, photograph, picture, video, movie, or other likeness, along with any material that is used during any demonstration, interview, or other recording, or that I send to Producer to use (collectively, my 'Likeness'), in whole or in part, alone or in conjunction with other material, on an absolute, irrevocable, and forever basis as a 'work made for hire' specially ordered or commissioned by Producer, without additional compensation or right of consent, in any and all media (now or hereafter in existence), anywhere in the universe, including without limitation in titles and promotion, publicity, and advertising.  I agree that Producer shall be the exclusive owner of all copyrights and other rights in and to all tangible works and any results and proceeds from the use of any or all of my Likeness, and will be able to perpetually use and license to third parties such tangible works and any results and proceeds for Producer's business purposes. 

I hereby grant to Producer an irrevocable, non-exclusive, fully paid-up, royalty-free, worldwide right and license to use and to authorize others to use my Likeness for Producer's business purposes.  I agree that I have no right to review, edit, or otherwise approve any material incorporating my Likeness.  I agree to execute any and all further documents that may be required during or after this agreement to give full force and effect to the rights in this agreement.  Nothing herein will constitute any obligation on Producer to make any use of my Likeness. 

I represent and warrant that I have the right to grant the rights in this Agreement, free and clear of any lien, encumbrance, or claim, or need to gain consent of or make payment to any third party.  I represent and warrant that this Agreement does not conflict with any presently existing commitment on my part or any competing or conflicting rights of any third party.  I agree to indemnify Producer from and against any liabilities, losses, claims, demands, costs (including without limitation reasonable attorneys' fees) and expenses arising in connection with any breach or alleged breach by me of any of the above representations and warranties, or this Agreement.  I agree I am not entitled to any consequential, indirect, incidental, exemplary, special, reputational, or punitive damages arising from or related to this Agreement. 

Producer may transfer, assign or sublicense its rights under this agreement or all or any of its rights or privileges hereunder without restriction.  This release shall be binding on all of my successors-in-interest and heirs.  This agreement sets forth the entire agreement between us with respect to the subject matter hereof and may not be altered or amended except in writing signed by both parties.  This agreement shall be governed by the laws of the State of California without regard to its conflict of laws provisions.  The parties hereto agree to submit to jurisdiction in Los Angeles County, California..
